The Board of Directors of JcbNext (“Board”) wishes to announce that the Board has today, received a notice of unconditional mandatory take-over offer from AmInvestment Bank on behalf of the Joint Offerors (“Notice”), to acquire all the remaining ordinary shares of RM0.50 each in JcbNext (excluding treasury shares) not already owned by the Joint Offerors and the persons acting in concert with them, namely Gregory Charles Poarch, JPOS Trust, Lim Chao Li, Ng Kay Yip, Suresh A/L Thirugnanam and Voyager Assets Limited (“Offer Shares”) for a cash offer price of RM1.20 per Offer Share ("Offer").

The Board will hold a Board Meeting to deliberate the Offer and make announcement in due course.

The Notice will be posted to the holders of the Offer Shares within seven (7) days of its receipt and a copy is enclosed herewith.
