Your query letter dated 17 April, 2001 on subject matter refers.

In this connection, the board of SAAG Corporation Berhad (“SAAG”) is pleased to furnish the following information for public release:-

1. The eventual issued and paid-up share capital of Britac (HK).

At this moment there is no intention to increase the issued and paid-up capital of Britac (HK) and Kuala Lumpur Stock Exchange (“KLSE”) will be notified accordingly when there is any increase in the issued and paid-up capital.

2. The eventual capital outlay of Britac-Saag Oil and Gas Sdn Bhd in Britac (HK).

At this moment Britac-Saag Oil and Gas Sdn Bhd (“BSOG”) has no intention of increasing the capital outlay in Britac (HK) and KLSE will be notified accordingly when BSOG increases its capital outlay in Britac (HK).

3. The date of subscription of the 9,999 new shares in Britac (HK) [Subscription].

The date of subscription for the 9,999 new shares in Britac (HK) is 18 April, 2001.

4. The total consideration for the Subscription, explaining how this has been arrived at and will be satisfied.

The consideration paid by BSOG for the 9,999 new shares in Britac (HK) is HK$9,999 and was paid in cash.

5. The source of funds for financing the Subscription.

From internal generated funds.

6. Whether persons connected with the directors and/or substantial shareholders, have any interest, direct or indirect, in the Subscription, the nature and extent of their interests, the nature of the relationship with such director and or/substantial shareholder, and the name of the connected person.

No persons connected to the directors and/or substantial shareholders have any interest, direct or indirect in the Subscription.

7. The rationale of the incorporation of Britac (HK) and Subscription.

a. for expansion; and
b. to improve the response time to market demand
